User Terms of Service
This agreement ("User Terms") constitutes a binding legal contract between you, as an Authorized User ("you" or "User"), and Terros, Inc. ("Terros," "we," or "us"). These User Terms govern your use of our services, including the Terros mobile application, content-sharing platform, and software suite (collectively, the "Platform").
By accessing or using the Platform, you signify your acceptance of and agreement to be bound by these User Terms. If you do not agree, you must not use the Platform.

1. Relationship to Other Agreements and Order of Precedence
These User Terms govern your individual use of the Platform. Your access is granted by a corporate entity ("Licensee") that has a separate commercial agreement with Terros ("Software License Agreement"). Additionally, our data practices are described in our Privacy Policy.
These three documents work together, but in the event of any direct conflict between their terms, the following order of precedence will apply:
- These User Terms of Service will control.
- The Software License Agreement will control next.
- The Privacy Policy will control last.
2. Definitions
Authorized User: An individual, such as an employee or contractor of a Licensee, who is permitted by the Licensee to access and use the Platform and who is at least 18 years of age.
Licensee: The organization that holds a license for Terros services and grants you access as an Authorized User.
Platform: The comprehensive Terros service offering, including the mobile application, web-based services, content-sharing platform, video features, and all related tools and capabilities.
User Content: Any audio recordings, voice data, communications, files, documents, video content, or other content that you create, upload, transmit, or store through the Platform. This includes Video Content unless specified otherwise.
Video Content: Short-form video content that you create, upload, or share on the Platform's video-sharing features.
3. Account Requirements and User Responsibilities
To access the Platform, you must be at least 18 years old and be authorized by a Licensee. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to use the Platform in compliance with all applicable laws and your Licensee's policies.
4. Content Ownership, Usage Rights, and AI Model Training
Content Ownership: As between you and the Licensee, all User Content you create as part of your duties for the Licensee is owned by the Licensee. You and the Licensee retain ownership of your respective original User Content, subject to the licenses granted herein.
License Grant for AI Model Training: To improve and develop our services, you grant Terros a perpetual, irrevocable, worldwide, royalty-free license to use, process, analyze, reproduce, modify, and create derivative works from your User Content for the purpose of training, improving, and developing Terros's artificial intelligence models, machine learning algorithms, and related technologies.
Your Right to Opt-Out of AI Model Training: Your privacy and control are paramount. If you do not wish for your User Content to be used for AI model training purposes, you must explicitly opt out by sending a written notice to privacy@terros.com. Upon receipt of your notice, Terros will cease using your future User Content for AI training purposes within a commercially reasonable period. Please note that User Content collected and processed prior to your opt-out may be retained in previously trained models.
Video Content Sharing: Video Content may be shared globally across all Platform users, regardless of their Licensee affiliation. By uploading Video Content, you grant Terros a worldwide, non-exclusive, royalty-free license to use, display, and distribute it on the Platform for the purpose of operating and improving our services.
5. Prohibited Content and Conduct
You agree not to post, upload, or share content that is unlawful, promotes violence, contains sexually explicit material, engages in harassment or hate speech, infringes on intellectual property rights, or violates our community guidelines. 6. Privacy and Data Usage
Your privacy is important to us. Our collection, use, disclosure, and protection of your personal information is governed by our Privacy Policy, which is available at https://terros.com/privacy-policy and is incorporated by reference into these User Terms. The Privacy Policy is the sole document governing data privacy matters.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS." TERROS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TERROS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. TERROS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE USER TERMS WILL NOT EXCEED THE LESSER OF THE TOTAL AMOUNTS PAID BY THE LICENSEE FOR YOUR ACCESS IN THE PRECEDING YEAR OR ONE MILLION DOLLARS ($1,000,000).
9. Termination of Access
Your access to the Platform may be suspended or terminated by Terros or the Licensee at any time, particularly for any violation of these User Terms. Upon termination, your right to use the Platform ceases immediately. The license you grant for AI Model Training survives termination unless you have opted out.
10. Governing Law and Dispute Resolution
These User Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in Dover, Delaware, on an individual basis, waiving any right to a jury trial or class action.
